These Terms of Service govern your use of the KidsRideCar website and any wholesale, OEM, or ODM transactions conducted through it. Please read these terms carefully before using our Site or placing any orders.

1. Acceptance of Terms

By accessing or using the KidsRideCar website (kidsridecar.com) and any related services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Site. These Terms apply to all visitors, wholesale buyers, OEM partners, and others who access or use the Site.

2. Use of the Site

This Site is intended for business-to-business (B2B) wholesale buyers, distributors, retailers, and OEM/ODM partners. You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others. You must not: use the Site in any way that violates applicable local, national, or international laws or regulations; transmit any unsolicited or unauthorized advertising or promotional material; attempt to gain unauthorized access to any part of the Site or its related systems; or use the Site to transmit any harmful, offensive, or disruptive content.

3. Product Information and Pricing

All product descriptions, specifications, images, and pricing information on this Site are provided for informational purposes only and are subject to change without notice. KidsRideCar makes reasonable efforts to ensure the accuracy of product information, but does not warrant that product descriptions or other content is accurate, complete, reliable, current, or error-free. Prices displayed on the Site are indicative FOB prices and may vary based on order quantity, customization requirements, and market conditions. Final pricing is confirmed in writing through a formal quotation.

4. Wholesale Orders and Contracts

Submitting an inquiry through this Site does not constitute a binding purchase order or contract. A binding contract is only formed when KidsRideCar issues a formal Sales Contract or Proforma Invoice and the buyer provides written acceptance and payment. All orders are subject to KidsRideCar's standard terms and conditions as specified in the Sales Contract, including minimum order quantities (MOQ), payment terms, lead times, and shipping terms. KidsRideCar reserves the right to decline any order at its discretion.

5. OEM/ODM Services

OEM and ODM services are subject to separate agreements that govern intellectual property rights, tooling costs, sample approval processes, and production timelines. Any designs, molds, or tooling developed specifically for a buyer remain the property of the buyer upon full payment of tooling costs, unless otherwise agreed in writing. KidsRideCar will not use buyer-specific designs or molds for other customers without the buyer's written consent.

6. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, product photographs, and software, is the property of KidsRideCar or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from this Site without our prior written consent. You may print or download content for your own non-commercial reference use only.

7. Licensed Products

Certain products displayed on this Site incorporate designs or trademarks licensed from third-party brand owners (including automotive brands). KidsRideCar holds valid licensing agreements for all licensed products displayed. Buyers are responsible for ensuring that the sale of licensed products in their target markets complies with applicable licensing restrictions and local laws. KidsRideCar does not grant buyers any sublicense to use the licensed trademarks or designs beyond the right to resell the licensed products.

8. Limitation of Liability

To the maximum extent permitted by applicable law, KidsRideCar shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of the Site or any products purchased through it. KidsRideCar's total liability for any claim arising out of or relating to these Terms shall not exceed the amount paid by you for the specific order giving rise to the claim.

9. Product Safety and Compliance

KidsRideCar products are designed and manufactured to comply with applicable safety standards, including CE/EN71 (Europe), ASTM F963 (United States), and other market-specific certifications as specified in product documentation. Buyers are responsible for ensuring that products comply with all applicable laws, regulations, and safety standards in their target markets. KidsRideCar provides test reports and certification documentation upon request. Buyers must not modify products in ways that may compromise safety or void certifications.

10. Warranty and Returns

KidsRideCar products are warranted against manufacturing defects for 12 months from the date of shipment, subject to the terms specified in the Sales Contract. Warranty claims must be supported by documentation (photographs and/or video) demonstrating the defect. The warranty does not cover damage resulting from misuse, accident, unauthorized modification, or normal wear and tear. Return and replacement procedures are governed by the terms of the applicable Sales Contract.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising out of or in connection with these Terms or any transaction contemplated hereby shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules. The arbitration shall be conducted in Mandarin Chinese, and the arbitral award shall be final and binding.

12. Changes to Terms

KidsRideCar reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically. Material changes will be indicated by an updated 'Last updated' date.
